ACCEPTANCE OF TERMS AND CONDITIONS

By using coordinatorforaday.com (the "Site"), you ("you" or the "User") agree to the terms and conditions that we have provided. If you do not wish to agree to the outlined terms and conditions (the "Terms of Use" or "Agreement"), please refrain from using the Site.

Coordinatorforaday.com is operated by Coordinator For A Day, Inc. (“CFAD”), an Illinois Corporation. CFAD’s purpose is to inform, educate, entertain, and support users that are planning a wedding or event through our interactive forums.

The User acknowledges that, although the Internet is often a secure environment, sometimes there are interruptions in service or events that are beyond the control of CFAD, and CFAD shall not be responsible for any data lost while transmitting information on the Internet. While it is CFAD’s objective to make its website accessible at all times, the website may be unavailable from time to time for any reason including, without limitation, routine maintenance. You understand and acknowledge that due to circumstances both within and outside of the control of CFAD, access to its website may be interrupted, suspended or terminated from time to time. CFAD shall have the right at any time to modify or discontinue any aspect or feature of its website, including, but not limited to, content, hours of availability, forum, and any other features on the website.

2. Right to modify terms

CFAD reserves the right at all times to modify or terminate any of our Terms of Use as it deems necessary or desirable without prior notification to you. By accessing and utilizing our website you indicate your unconditional acceptance of these Terms of Use. Your continued use and access of our website following the posting of any modifications to the Terms of Use constitutes acceptance of those modifications. Any such deletions or modifications shall be effective immediately upon CFAD's posting thereof. Any use of CFAD by user after such notice shall be deemed to constitute acceptance by user of such modifications. We suggest to you, therefore, that you re-read this important notice containing our Terms of Use from time to time in order that you stay informed as to any such changes.

3. CFAD Areas

www.coordinatorforaday.com provides access to various sections within our website hereto referred to as “Areas” which include but are not limited to, www.coordinatorforaday.com web content, vendor contact forms, member profile information, member-personalized databases and information, folders, posts, messages, photos, and graphics. You understand and agree that our Areas are provided “AS-IS” and CFAD assumes no responsibility for your ability to, or any costs or fees associated with your ability to, obtain access to our Area. CFAD assumes no liability for the failure to save, store, or maintain any user communications of personalized settings.

4. User Eligibility and Safety

CFAD is concerned about the safety and privacy of all its users. CFAD is designed to inform, educate, entertain, and support users planning a wedding or related events, and therefore has a diverse audience. Minors (under the age of 18) must have authorization by a legal guardian to utilize any Areas of this website. CFAD reserves the right to revoke or prohibit you from posting or uploading in any of our Areas at any reason, at any time, without notice, in particular, upon any violation of these Terms of Use or the Privacy Policy of our website.

5. Comment, Communication, and Content Uploading

Our website provides users the ability to post messages, upload content, videos, photos, and other materials through our various forums (collectively herein “user content”). You are solely responsible for any and all user content you upload, post, or display (“post”) on our website, including but not limited to messages, text, photos, videos, and any other user content you upload or post on our website. CFAD reserves the right, but has no obligation, to monitor the content you post on our website, and in its sole discretion may remove, block, or edit, any and all portions of user content posted, with or without notice to you. If CFAD chooses at any time, in its sole discretion to monitor user content, it still has no responsibility for the user content or for the conduct of a user posting user content or to edit or remove any user content. If you are involved in a dispute with one or more users of CFAD, you release CFAD (including its officers, directors, employees, and affiliates) from claims, demands, damages (actual and consequential) of every kind arising out of or in any way connected to any dispute.

The following conduct is prohibited when using the CFAD website for any purpose. By posting any User Content you agree to refrain from behaving in conduct including but not limited to the following:

  • Vulgar, obscene, offensive, or otherwise harmful language
  • Using racial, ethnic, or other offensive language
  • Harassing, intimidating, stalking, or threatening other CFAD users and community members
  • Using libelous, defamatory, or otherwise tortuous language
  • Online vandalism including but not limited to abusive language, or otherwise acting in a manner that negatively impacts the ability of members to engage in real time exchanges
  • Impersonating any person or using fictitious names and/or information, and any other misrepresentations
  • Posting, uploading, distributing, transmitting, or promoting illegal content
  • Invading the privacy or violating any personal or proprietary right (including but not limited to intellectual property rights) of any person or entity
  • Manipulating or forgoing of identifiers in order to disguise the origin of any content posted on CFAD or otherwise provided to CFAD or its employees and affiliates
  • Posting, uploading, distributing, transmitting, or otherwise making available any information (i.e. inside, propriety, or other confidential information) that you do not have a right to make available due to contract, fiduciary duty, or any other operation of law.
  • Posting, uploading, distributing, or otherwise transmitting any content or software that contains any malicious computer code (including but not limited to spyware, worms, Trojan horses, viruses, spam, junk mail, etc.)
  • Collecting storing, posting, uploading, or otherwise transmitting any personal data of or about other CFAD users, CFAD employees or affiliates
  • Solicitation of any kind on message boards, chat, other website Areas
  • Participating in fraudulent activities or conduct

6. Accuracy of user content

Excluding User Content, the information on this website is believed to be complete and reliable; however, the information may contain typographical errors, other errors, or inaccuracies. We will use reasonable efforts to correct errors as soon as practicable. We reserve the right to: (i) correct any errors, inaccuracies, or omission; and (ii) make changes to content, product descriptions or specifications, or other information without obligation to issue any notice of such changes.

7. Registration, Free Trial Offer and Cancellation

Users registering for a Premium Monthly Subscription on the CFAD website must be 18 years or older and by ordering said subscription you represent that you are 18 years or older. You agree that by ordering a Premium Monthly Subscription, you authorize CFAD to start and continue your month-to-month coordinatorforaday.com membership automatically, to be charged monthly to your account under the payment method you selected, until the date you cancel and terminate your membership.

Your Premium Monthly Subscription, including a 60 day free offer, will begin once you’ve provided all of the required information and you clicked the designated "Start Membership" during the registration process. Simply cancel anytime during your 60 day free membership, and you will not be charged. To cancel, click on "Account Management" and follow the simple cancellation instructions. If you are enjoying the CFAD website and you wish to continue with a paid membership, then you must provide the requested valid payment information and your membership will automatically continue at the monthly subscription rate. This 60 day free offer is available to new and certain former members of the coordinatorforaday.com service and cannot be combined with any other offer. CFAD reserves the right to discontinue or change the free offer terms at any time with or without notice.

To cancel, users must go to the “Account Management” link on their user profile and click on “Cancel Memberships.” Absolutely no refunds will be given for partial months.

8. Equipment.

Users shall be responsible for obtaining and maintaining all telephone, computer hardware and other equipment needed for access to and use of CFAD’s website and all charges related thereto. CFAD shall not be liable for any damages to the User's equipment resulting from the use of CFAD’s website.

9. Copyright and Trademarks.

Everything located on or in CFAD’s website is the exclusive property of CFAD or used with express permission of the copyright and/or trademark owner. ANY COPYING, DISTRIBUTING, TRANSMITTING, POSTING, LINKING, DEEP LINKING, OR OTHERWISE MODIFYING OF THIS SITE OR ANY OF CONTENTS THEREIN WITHOUT THE EXPRESS WRITTEN PERMISSION OF CFAD IS STRICTLY PROHIBITED. Any violation of this policy may result in a copyright, trademark or other intellectual property right infringement that may subject user to civil and / or criminal penalties.

The CFAD website contains copyrighted material, trademarks and other proprietary information, including, but not limited to, text, software, photos, video, graphics, music, sound, and the entire contents of this website is protected by copyright as a collective work under the United States copyright laws. CFAD owns a copyright in the selection, coordination, arrangement and enhancement of such content, as well as in the content original to it. The user may not modify, publish, transmit, participate in the transfer or sale, create derivative works, or in any way exploit, any of the content, in whole or in part. User may download / print / save copyrighted material for user’s personal use only. Except as otherwise expressly stated under copyright law, no copying, redistribution, retransmission, publication or commercial exploitation of downloaded material without the express permission of CFAD and the copyright owner is permitted. If copying, redistribution or publication of copyrighted material is permitted, no changes in or deletion of author attribution, trademark legend or copyright notice shall be made. User acknowledges that he/she/it does not acquire any ownership rights by downloading copyrighted material. Trademarks that are located within or on CFAD’s website or a website otherwise owned or operated in conjunction with CFAD shall not be deemed to be in the public domain but rather the exclusive property of CFAD, unless such site is under license from the Trademark owner thereof in which case such license is for the exclusive benefit and use of CFAD, unless otherwise stated.

User shall not upload, post or otherwise make available on CFAD’s website, any material protected by copyright, trademark or other proprietary right without the express permission of the owner of the copyright, trademark or other proprietary right. CFAD does not have any express burden or responsibility to provide User with indications, markings or anything else that may aid User in determining whether the material in question is copyrighted or trademarked. User shall be solely liable for any damage resulting from any infringement of copyrights, trademarks, proprietary rights or any other harm resulting from such a submission. By submitting material to any public area of CFAD’s website, User warrants that the owner of such material has expressly granted CFAD the royalty-free, perpetual, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate and distribute such material (in whole or in part) worldwide and/or to incorporate it in other works in any form, media or technology now known or hereafter developed for the full term of any copyright that may exist in such material. User also permits any other users to access, view, store or reproduce the material for that end user's personal use. User hereby grants CFAD the right to edit, copy, publish and distribute any material made available on its website by User.

The foregoing provisions of Section 9 apply equally to and are for the benefit of CFAD, its subsidiaries, affiliates and its third party content providers and licensors and each shall have the right to assert and enforce such provisions directly or on its own behalf.

10. Disclaimer of Warranty; Limitation of Liability.

END USER EXPRESSLY AGREES THAT USE OF THIS SITE IS AT USER'S SOLE RISK. NEITHER CFAD, ITS AFFILIATES NOR ANY OF THEIR RESPECTIVE EMPLOYEES, AGENTS, THIRD PARTY CONTENT PROVIDERS OR LICENSORS WARRANT THAT USE OF THE SITE WILL BE UNINTERRUPTED OR ERROR FREE; NOR DO THEY MAKE ANY WARRANTY AS TO (I) THE RESULTS THAT MAY BE OBTAINED FROM USE OF THIS SITE, OR (II) THE ACCURACY, RELIABILITY OR CONTENT OF ANY INFORMATION, SERVICE OR MERCHANDISE PROVIDED THROUGH THIS SITE.

THIS DISCLAIMER OF LIABILITY APPLIES TO ANY DAMAGES OR INJURY CAUSED BY ANY FAILURE OF PERFORMANCE, ERROR, OMISSION, INTERRUPTION, DELETION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER VIRUS, COMMUNICATION LINE FAILURE, THEFT OR DESTRUCTION OR UNAUTHORIZED ACCESS TO, ALTERATION OF, OR USE OF RECORD, WHETHER FOR BREACH OF CONTRACT, TORTIOUS BEHAVIOR, NEGLIGENCE, OR UNDER ANY OTHER CAUSE OF ACTION. END USER SPECIFICALLY ACKNOWLEDGES THAT CFAD IS NOT LIABLE FOR THE DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD-PARTIES AND THAT THE RISK OF INJURY FROM THE FOREGOING RESTS ENTIRELY WITH END USER.

IN NO EVENT SHALL CFAD, OR ANY PERSON OR ENTITY INVOLVED IN CREATING, PRODUCING OR DISTRIBUTING THIS SITE OR THE CONTENTS HEREOF, INCLUDING ANY SOFTWARE, BE LIABLE FOR ANY DAMAGES, INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE THIS SITE. END USER HEREBY ACKNOWLEDGES THAT THE PROVISIONS OF THIS SECTION SHALL APPLY TO ALL CONTENT ON THIS SITE.

IN ADDITION TO THE TERMS SET FORTH ABOVE, NEITHER CFAD, NOR ITS AFFILIATES, INFORMATION PROVIDERS OR CONTENT PARTNERS SHALL BE LIABLE REGARDLESS OF THE CAUSE OR DURATION, FOR ANY ERRORS, INACCURACIES, OMISSIONS, OR OTHER DEFECTS IN, OR UNTIMELINESS OR UNAUTHENTICITY OF, THE INFORMATION CONTAINED WITHIN THIS SITE OR ANY OF THE MICROSITES, OR FOR ANY DELAY OR INTERRUPTION IN THE TRANSMISSION THEREOF TO THE END USER, OR FOR ANY CLAIMS OR LOSSES ARISING THEREFROM OR OCCASIONED THEREBY. NONE OF THE FOREGOING PARTIES SHALL BE LIABLE FOR ANY THIRD-PARTY CLAIMS OR LOSSES OF ANY NATURE, INCLUDING WITHOUT LIMITATION LOST PROFITS, PUNITIVE OR CONSEQUENTIAL DAMAGES.

CFAD IS NOT RESPONSIBLE FOR ANY CONTENT THAT A USER, SUBSCRIBER, OR AN UNAUTHORIZED USER MAY POST ON THIS SITE. ANY CONTENT THAT IS POSTED OR UPLOADED THAT IS OR MAY BE DEEMED UNSUITABLE CAN AND MAY BE TAKEN DOWN BY CFAD. MOREOVER, CFAD RESERVES THE RIGHT TO EDIT, CHANGE, ALTER, DELETE AND PROHIBIT ANY AND ALL CONTENT THAT IT, YOUSWOOP, DEEMS UNSUITABLE.

11. Monitoring.

CFAD shall have the right, but not the obligation, to monitor the content of this website at all times, including any CFAD Areas, chat rooms and forums that may be included as part of the website, to determine compliance with this Agreement and any operating rules established by CFAD, as well as to satisfy any applicable law, regulation or authorized government request. Without limiting the foregoing, CFAD shall have the right to remove any material that CFAD, in its sole discretion, finds to be in violation of any of the provisions in these Terms of Use or is otherwise objectionable.

12. Privacy.

User acknowledges that all content uploaded, discussions, comments, chat rooms and/or other message or communication facilities are public and not private communications, and that, therefore, others may read or access User’s communications without User's knowledge. CFAD does not control or endorse the content, messages or information found in any of its Areas, and, therefore, CFAD disclaims any liability concerning the CFAD Areas and any actions resulting from Users participation in any of CFAD’s Areas, including any objectionable content. Generally, any communication or content which User posts, uploads, or transmits to CFAD (whether in chat rooms, discussion groups, message boards or otherwise) is considered to be non-confidential. If particular web pages permit the submission of communications that will be treated by CFAD as confidential, that fact will be stated on those pages. By posting, uploading or transmitting, comments, messages or other content and/or information on this website, User grants CFAD the right to use such comments, messages, content and/or information for promotions, advertising, market research or any other lawful purpose. 13. License Grant.

By posting content or other information on or through this website, User shall be deemed to have granted to CFAD a royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, modify, publish, edit, translate, distribute, perform, and display the communication alone or as part of other works in any form, media, or technology whether now known or hereafter developed, and to sublicense such rights through multiple tiers of sub-licensees.

14. Indemnification.

User agrees to defend, indemnify and hold harmless CFAD, its affiliates and their respective directors, officers, employees and agents from and against all claims and expenses, including attorneys' fees, arising out of the use of this website by User.

15. Termination.

CFAD may terminate these Terms of Use at any time. Without limiting the foregoing, CFAD shall have the right to immediately terminate any passwords or accounts of User in the event of any conduct by User which CFAD, in its sole discretion, considers to be unacceptable, or in the event of any breach by End User of this Agreement.

16. Third Party Content.

Some of the content on the Site is supplied by third parties and Users. Accordingly, CFAD has no more editorial control over such content than does a public library, bookstore or newsstand. Any opinions, advice, statements, services, offers, or other information or content expressed or made available by third parties, including information providers, or any other end users are those of the respective author(s) or distributor(s) and not of CFAD. Neither CFAD nor any third-party provider of information guarantees the accuracy, completeness, or usefulness of any content, nor its merchantability or fitness for any particular purpose.

CFAD neither endorses nor is responsible for the accuracy or reliability of any content, information, opinion, advice, or statement made on this website by anyone other than authorized CFAD employee spokespersons while acting in official capacities. Under no circumstances will CFAD be liable for any loss or damage caused by an end user's reliance on information obtained through CFAD. It is the responsibility of User to evaluate the accuracy, completeness, or usefulness of any information, opinion, advice, etc., or other content available through this website.

This website may contain links to third party web sites maintained by other content providers. These links are provided solely as a convenience to you and not as an endorsement by CFAD of the contents on such third-party sites and CFAD hereby expressly disclaims any representations regarding the content or accuracy of materials on such third-party web sites. If User decides to access linked third-party web sites, User does so at his/her own risk. Unless you have executed a written agreement with CFAD expressly permitting you to do so, you may not provide a hyperlink to this website from any other website. CFAD reserves the right to revoke its consent to any link at any time in its sole discretion.

17. Miscellaneous.

These Terms of Use and any operating rules for CFAD established by CFAD constitute the entire Agreement of the parties with respect to the subject matter hereof. No waiver by either party of any breach or default hereunder is a waiver of any preceding or subsequent breach or default. The section headings used herein are for convenience only and shall be of no legal force or effect. If any provision of this Agreement is held invalid by a court of competent jurisdiction, such invalidity shall not affect the enforceability of any other provisions contained in this Agreement and the remaining portions of this Agreement shall continue in full force and effect. The failure of either party to exercise any of its rights under this Agreement shall not be deemed a waiver or forfeiture of such rights or any other rights provided under these Terms of Use.

CFAD’s headquarters are in the State of Illinois. Legal issues arising out of, but not exclusive to the use of, this website are governed by and in accordance with the laws of the State of Illinois (exclusive of its rules regarding conflicts of laws). By using this website, User agrees that any dispute or claim arising out of or in connection with this Agreement or the performance, breach or termination thereof, or this website shall be finally settled by arbitration in Chicago, Illinois under the rules of arbitration of the American Arbitration Association.
